Okeanos Group, LLC, and its affiliates (Okeanos and its affiliates collectively referred to as “Okeanos”), operate, or may operate, websites, mobile applications, and social media pages that link to this Terms of Use (collectively, “Sites”). Throughout the Sites, the terms “we,” “us” and “our” refer to Okeanos. Use of the Sites constitutes your acceptance to this Terms of Use (“ToU”). If you do not agree to the ToU, please do not use the Sites. However, you will still be bound by the ToU as they existed when you last used/accessed the Sites.

PERSONAL AND NON-COMMERCIAL USE LIMITATION

Okeanos is not responsible if information available on the Sites is not accurate, complete or current. The material on the Sites is provided for general information and persona use. We reserve the right to modify the contents of the Sites at any time, but we have no obligation to update any information on the Sites. You agree that it is your responsibility to monitor changes to the Sites.

USE OF THE SITES

All content on the Sites (including, without limitation, text, design, graphics, logos, icons, images, audio clips, downloads, interfaces, code and software) (“Contents”) is the exclusive property of Okeanos, its licensors or its content providers and is protected by copyright, trademark and other applicable laws. You may access, copy, download and print the material contained on the Sites for your personal and non-commercial use, provided you do not modify or delete any copyright, trademark or other proprietary notice that appears on the material you access, copy, download or print. Any other use of content on the Sites, including but not limited to the modification, distribution, transmission, uploading, licensing, or the creation of derivative works from, any material, information, software, products or services obtained from the Sites, is expressly prohibited. Okeanos or its licensors or content providers retain full and complete title to the material provided on the Sites, including all associated intellectual property rights, and provide this material to you under a license that is revocable at any time in Okeanos’ sole discretion. Okeanos neither warrants nor represents that your use of materials on this site will not infringe rights of third parties not affiliated with Okeanos.

As a condition of your use of the Sites, you will not use the site for any purpose that is unlawful or prohibited by these ToU or any applicable laws.

INFORMATION/MATERIALS YOU SUBMIT THROUGH THE SITES

You are responsible for any information/material you submit through the Sites, including the legality, reliability, appropriateness, originality, and copyright of any such information/material. You shall not upload to, distribute or otherwise publish through the Sites any content that (i) is confidential, proprietary, false, fraudulent, libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing on intellectual property rights, abusive, illegal or otherwise objectionable; (ii) may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law; or (iii) may contain software viruses, political campaigning, chain letters, mass mailings, or any form of “spam.” You may not use a false email address or other identifying information, impersonate any person or entity or otherwise mislead.

If you submit information/material, and unless we indicate otherwise, you grant Okeanos an unrestricted, nonexclusive, royalty-free, perpetual, irrevocable and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such material in any media. You agree that Okeanos is free to use any ideas, concepts, know-how that you provide to Okeanos. You grant Okeanos the right to use the name you submit in connection with such material. All personal information provided via the Sites will be handled in accordance with Okeanos’ Privacy Policy. You represent and warrant that you own or otherwise control all the rights to the content you post; that the content is accurate; that use of the content you supply does not violate any provision herein and will not cause injury to any person or entity; and that you will indemnify Okeanos for all claims resulting from such content.

YOU AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH THE USE OF THE SITES, INCLUDING, WITHOUT LIMITATION, ANY RELIANCE ON THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY CONTENT AVAILABLE THROUGH OR IN CONNECTION WITH THE SITES. IF YOU DOWNLOAD ANY MATERIAL FROM THE SITES, YOU DO SO AT YOUR OWN RISK. LIMITATION OF LIABILITY

INDEMNIFICATION

You agree to defend, indemnify and hold Okeanos harmless from and against any and all claims, damages, costs and expenses, including attorney’s fees, arising from and related to your use of the Sites under these ToU..

CONFIDENTIALITY OF COMMUNICATIONS

Any Personal Information (as defined in Okeanos’ Privacy Policy) you submit through the Sites is governed by Okeanos’ Privacy Policy. Any other non-personal information you submit through the Sites will be treated as non-confidential and non-proprietary.

COPYRIGHT NOTICE

The graphic images, buttons and text contained in the Sites are the exclusive property of Okeanos, unless otherwise noted. Except for personal use, these may not be copied, distributed, displayed, reproduced, or transmitted, by any means, without prior written permission of Okeanos.

INTELLECTUAL PROPERTY

The Sites and their Contents, including all trademarks, service marks, and graphical elements, are Okeanos’ sole property except as expressly noted and are protected by copyright, trademark, patent, and/or other proprietary rights and laws. The Sites and their Contents may also contain third-party names, trademarks, and service marks that are the property of their respective owners.

Subject to these TOU, you are granted a personal, non-exclusive, non-transferable and revocable license to use the Sites solely for your own personal, non-commercial purposes and solely in accordance with these ToU. This license is terminable at any time, and does not grant you any additional rights with respect to the Sites or their Contents. We reserve all other rights. You may not modify, alter or change any Content, or distribute, publish, transmit, reuse, re-post, reverse engineer, or disassemble the Content or any portion thereof for public or commercial purposes. Your use of any Content, except as provided in these TOU, without Okeanos’ written permission of is strictly prohibited.

LINKS TO THIRD PARTY SITES

The Sites may link to other sites owned by third parties. We have no control over these sites, which have separate privacy and data collection practices and legal policies. Okeanos is not responsible for the contents of these sites and does not make any representations regarding the content or accuracy of material on such sites. Viewing such third party sites is entirely at your own risk. We do not endorse their products and services.

DISPUTE RESOLUTION – JURISDICTION AND CHOICE OF LAW

These ToU are governed and interpreted under the laws of the State of Florida, United States of America. By using the Sites, you consent to the jurisdiction of the courts located in Florida, in the county of Miami-Dade, for any action arising from these ToU. If any portion of these ToU is deemed unlawful, void, or unenforceable, then that part shall be deemed severable and shall be construed in accordance with applicable law. Such a term will not affect the validity and enforceability of any remaining provisions. EACH PARTY HERETO HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THIS TOU.

CHANGES

We may modify or discontinue the Sites and their Contents at any time, in our sole discretion. We may also change these ToU at any time by updating and posting the revised version of these ToU through the Sites.
